Policy of Conflict of Interest and Disclosure of Certain Interest

This conflict-of-interest policy is designed between our company and our service provider partner to identify situations that present potential conflicts of interest and to provide partners with a policy.

1. Conflict of interest defined. For purposes of this policy the following circumstances shall be deemed to create conflict of interest.
   • Transaction between our company and partner service provider client or family member.
     1. Selling our products to partner’s client or member of the family directly. This is a material financial interest
   • A responsible person accepting gifts and entrainment or other favors from any individual or entity that:

     2. Has received, is receiving, or seeking to receive a commission or grant or to secure other financial commitments from our partner competitor.

   In the event it is not entirely clear that a conflict of interest exist, the individual with the potential conflict shall disclose the circumstances to the chair or chair designee, who shall determine whether there exist a Conflict of Interest that is subject to this policy.
